Agreed Upon Procedures

When you need the services, resources and expertise of a CPA, but don't require a certified, full financial statement audit, GJM can conduct "agreed upon procedures" (AUP) that respond to your specific needs. While the report generated under this arrangement does not issue an opinion, the detailed findings are still based on the recognized standards of the American Institute of Certified Public Accountants (AICPA.) Because you decide the extent and scope of the work that will be performed, an AUP engagement generally costs less and is faster to complete than a full audit. Agreed upon procedures engagements are useful for companies that wish to carefully examine a specific aspect of their business, or require limited financial information for lending institutions, investors or regulators.

Audit

Of the three different reporting standards of the financial statements GJM prepares, the audit represents the highest level of assurance. The audit achieves a level of assurance that financial statements are presented fairly and are free of material misstatement and provide an opinion based on this information. The goal of every audit GJM performs is to carefully and accurately examine the financial position of your business or organization and provide an objective opinion that is based on current professional standards and all laws and regulations.

Review

Financial statements that are reviewed provide clients with an opinion that reflects limited assurance, or a "level of comfort" that, based on our accountant's analytical procedures and inquiries, he or she is not aware of material modifications that should be made to conform with the financial reporting framework. While a review may take into account an understanding of the client's industry it may not incorporate testing of accounting records, an assessment of the client company's fraud risk or examination of internal controls. 

Compilation

Because compilation statements use the company or organization's existing records, they are the lowest level of assurance and are normally used by management to analyze performance or financial position. There is no official opinion expressed by the accountant in preparing a compilation statement.

IC-DISC

If your company earns an annual gross margin of $200,000 or more in export transactions, the Interest Charge Domestic International Sales Corporation (IC-DISC) structure provides a permanent tax savings of 20% to IC-DISC shareholders.

The IC-DISC does not require corporate structure, offices or assets. IC-DISC can be thought of as a channel for savings in export taxes. Qualifying companies may be manufacturing firms, software and distribution companies or engineers and architects that work overseas.

As business becomes more specialized, many companies are extending their reach by leveraging the abilities of other companies through outsourcing. The challenge is to ensure that adequate internal controls are in the place at outsourcing companies. A Service Organization Controls (SOC) report attests to the service organization's controls.

Statement on Standards for Attestation Engagements 16 (SSAE 16) was created by the Auditing Standards Board (ASB) of the American Institute of Certified Public Accountants (AICPA) to define how service companies report on compliance controls.

There are three types of SOC reports to meet the specific needs of different service organizations: 

SOC 1

The SOC 1 report is specific to the service organization's internal controls, likely relevant to financial reporting or internal controls over financial reporting. The report is restricted to existing user entities and their financial auditors and is not intended for potential customers.

SOC 2

The SOC 2 report covers controls beyond financial reporting, such as operational risks. Specifically, the report details one or more of the following five AICPA Trust Services Principles and Criteria: Security, Availability, Processing Integrity, Confidentiality and Privacy.

SOC 3

The SOC 3 also utilizes the AICPA Trust Services Principles and Criteria, but the report does not include a detailed description of the system's controls. There are no restrictions on the distribution of the report. SOC 3 reports can also be delivered in the form of a seal, which can be displayed on the service organization's website.
